Annual reports, statements of information, and franchise tax

Most entities have a state maintenance filing: California’s Statement of Information, Delaware’s franchise tax, an annual report almost everywhere else. None of them is the federal income-tax return.

After formation you still have a registered agent, a periodic state filing, and often a franchise or annual tax. Due dates and dollar amounts live on the state’s site. Verify them there; do not copy a blog fee into this product.

California publishes Statement of Information instructions on sos.ca.gov, and Delaware publishes franchise tax on corp.delaware.gov/frtax/. Elsewhere it is usually just an annual report, and foreign qualification in a second state has its own renewals.

Missing the filing is how 'not in good standing' notices and administrative suspensions happen, and that is independent of whether you kept beautiful minutes.
